Terms and Conditions for BillSift

This Terms and Conditions agreement ("Terms," "Agreement") is a legal agreement between you ("User," "you") and Finkalp Technologies Private Limited ("Company," "we," "us," "our", "Billsift"), governing your access to and use of the BillSift website at www.billsift.com and any related services, including our AI-powered expense management mobile application and software (collectively, the "Services").

By registering for, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority or do not agree with these Terms, you must not accept this agreement and may not use the Services.

1. Account Registration and Eligibility

• Eligibility: You must be at least 18 years of age and capable of forming a binding contract to use our Services.
• Account Creation: You can create an account ("Account") by registering directly with us or by using "Sign in with Google".
• Google Sign-In: When you use Google Sign-In, you permit us to access and store certain information from your Google account as described in our Privacy Policy. You are responsible for understanding and complying with Google's terms of service.
• Account Security: You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify us immediately at info@billsift.com of any unauthorized use of your Account.

2. Description of Services

BillSift provides an AI-powered expense management platform that allows users to:

• Upload scanned copies or images of bills and receipts ("User Content").
• Use our Optical Character Recognition (OCR) technology to automatically extract key data from the User Content (such as merchant name, date, total amount, tax details, etc.).
• View, manage, and export the extracted data in structured formats like JSON or Excel.
• Generate aggregated reports and insights based on their expense data.

3. User Responsibilities and Acceptable Use

You agree not to use the Services to:

• Upload, post, or transmit any User Content that is illegal, infringing, defamatory, obscene, or otherwise objectionable.
• Upload any content that contains viruses or other malicious code.
• Use the Services for any fraudulent or unlawful purpose.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to the Services or its related systems or networks.
• Misrepresent your identity or affiliation with any person or organization.

You are solely responsible for the accuracy, quality, and legality of your User Content.

4. Subscription Plans, Pricing, and Billing

• Subscription Tiers: We offer various subscription plans, including a Free tier, a Pro tier, and a Business tier, as detailed on our Pricing page (https://billsift.com/#pricing).
• Pricing Changes: We reserve the right to change our subscription fees at any time. We will provide you with at least 30 days' notice of any price changes affecting your subscription via email or a prominent notice within the Service. Your continued use of the Services after the price change becomes effective constitutes your agreement to pay the new amount.
• Billing Cycle: Subscription fees are pre-paid and will be billed on a monthly or yearly cycle, depending on the plan you select.
• Free Tier: The Free tier may be limited in features, such as the number of scans per month, and is subject to the terms outlined herein.
• No Refunds: All fees are non-refundable except as required by law or as otherwise stated in these Terms.

5. Intellectual Property Rights

• Our Rights: The Services, including its original code, database structure, features, functionality, OCR technology, and all related intellectual property, are and will remain the exclusive property of BillSift and its licensors.
• Your Rights: We claim no intellectual property rights over the User Content you upload. You retain all ownership rights to your original bills, receipts, and other User Content.
• License Grant by You: By uploading User Content, you grant BillSift a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and create derivative works (such as the data extracted via OCR) solely for the purpose of providing, improving, and securing the Services for you.

6. Data Processing and Privacy

Your privacy is critically important to us. Our collection, use, and disclosure of your personal information, including User Content, are governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Term and Termination

• Term: This Agreement remains in effect while you use our Services.
• Termination by You: You can terminate your Account at any time by using the account deletion feature within the Services or by contacting us.
• Termination by Us: We may suspend or terminate your Account and access to the Services immediately, without prior notice or liability, if you breach these Terms.
• Effect of Termination: Upon termination, your right to use the Services will cease immediately. We will, upon your request, provide you with a copy of your extracted data in a standard format (e.g., Excel) for a limited period after termination. Following this period, we will initiate the process of deleting your User Content and Account data from our systems.

8. Disclaimers and Limitation of Liability

• No Professional Advice: The Services provide automated data extraction and reporting tools. This does not constitute financial, legal, or tax advice.

9. Indemnification

You agree to indemnify and hold harmless Finkalp Technologies Private Limited and its affiliates from and against any claims, damages, losses, liabilities, and expenses arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
• Jurisdiction: Subject to the dispute resolution clause below, the courts in Bangalore, Karnataka shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms.
• Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms shall be first attempted to be resolved amicably through mutual negotiations. If the dispute is not resolved within thirty (30) days, the parties agree to submit the dispute to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
